These Terms of Service (“Agreement”) govern your access to and use of services provided by ContractPM (“we”, “our”, or “us”). By engaging our services, you (“Client” or “you”) agree to these terms and our Privacy Policy.

1. Acceptance of Terms

By accessing or using our website or services, you acknowledge and agree to be bound by these general Terms of Service and our Privacy Policy. These terms apply to all visitors and prospective clients of ContractPM.

For all project-related engagements, you will also be provided with a Professional Services Agreement (PSA) during the onboarding process. This document outlines the specific scope of work, deliverables, fees, and conditions relevant to your individual project.

Your engagement of ContractPM’s services is conditional upon your review and acceptance of the PSA. No project management or consultancy work will commence until the PSA is signed or formally agreed upon in writing.

2. Our Services

We provide construction-related services, including but not limited to:

• • Project Management Services: Ongoing advisory and coordination of residential construction projects.

• • Pre-Construction Consultancy: Support and advice on budgeting, documentation, builder selection, planning, and regulatory requirements.

• • Support Plans: Fixed-fee monthly or custom advisory packages to suit various project stages.

Service details and scope will be outlined in individual agreements or proposals provided to you.

3. Client Responsibilities

As a client, you agree to:

• • Provide timely, accurate, and complete information required for service delivery.

• • Collaborate in good faith with ContractPM and relevant third parties (builders, suppliers, etc.).

• • Notify us promptly of any material changes to your project.

• • Pay all fees in accordance with the agreed schedule.

4. Fees and Payment

• • Fees are invoiced monthly or as otherwise specified in your service agreement.

• • Payment terms are 7 days from invoice

• • Late payments may result in service suspension or additional interest fees.

We reserve the right to revise fees with prior notice.

5. Confidentiality

We treat all personal and project-related information you provide as confidential. We will not disclose this information to third parties without your consent unless required by law.

6. Limitation of Liability

To the fullest extent permitted by law:

• • We provide services on a professional advisory basis. We do not assume liability for construction outcomes, third-party contractor performance, or unforeseen project delays.

• • We are not liable for any indirect, incidental, special, consequential, or exemplary damages.

• • Our total liability for any claim relating to our services is limited to the amount paid by you for the specific service giving rise to the claim.

• • We are not liable for loss or damage resulting from events beyond our control (e.g., acts of nature, regulatory delays, builder withdrawal, or supply chain issues).

7. Indemnity

You agree to indemnify and hold harmless ContractPM, its directors, employees, and agents from any claims, liabilities, damages, and costs (including legal fees) arising from:

• • Your misuse of our services

• • Breach of these terms

• • Negligence, errors, or omissions on your part during the course of the project

8. Termination

8.1 Project Management Services

If you engage ContractPM for project management services, you agree to a minimum term of 12 months or the full duration of the project, whichever is longer.

• • If you terminate prior to this commitment, an early termination fee equal to three (3) months of service fees will apply.

• • This fee reflects operational losses and resourcing commitments made on your behalf.

8.2 Pre-Construction Consultancy Services

You may terminate pre-construction consultancy services at any time with written notice. You will be liable for all fees incurred up to the termination date.

8.3 General Terms

• • Either party may terminate the agreement for material breach if not remedied within 14 days of notice.

• • All outstanding amounts become immediately payable upon termination.

• • We reserve the right to suspend or cancel services if payments are overdue.

9. Intellectual Property

All documents, reports, tools, or materials provided to you remain the intellectual property of ContractPM. You may not reproduce or share them without written permission.

10. Governing Law

This Agreement is governed by the laws of New South Wales, Australia, and any disputes will be resolved in the courts of that jurisdiction.

11. Amendments

We may amend these Terms of Service from time to time. The updated version will be posted on our website, and your continued use of our services indicates your acceptance of the revised terms.
